Terms of Service

1. Definitions

• Platform: The Reef Intelligence web application, APIs, and associated services operated by Reef Insights LLC.
• User: Any individual who creates an account or accesses the Platform.
• Organization: A team or enterprise account created under a Team or Enterprise subscription plan.
• Subscription: A paid or trial access agreement governing use of the Platform.
• Content: Data, analysis, reports, chat outputs, visualizations, and other materials generated through use of the Platform.
• Unauthorized Use: Any use that violates these Terms, applicable laws, or infringes on the rights of others, including automated access without permission, security circumvention, service interference, or unauthorized data collection.

2. Account Registration and Security

• You must provide accurate and complete information when creating an account and keep it up to date.
• You are responsible for maintaining the confidentiality of your login credentials.
• You are responsible for all activity that occurs under your account.
• You must notify us immediately at legal@reefinsights.com of any suspected unauthorized access to your account.
• We reserve the right to terminate or suspend accounts for violations of these Terms.

3. Subscriptions and Billing

• Access to the Platform requires a paid subscription (Pro, Team, or Enterprise), except during any authorized free trial or early access period.
• Subscriptions are billed monthly or annually as selected at checkout. Prices are displayed at time of purchase.
• All payments are processed securely through Stripe. By subscribing, you authorize Stripe to charge your payment method on a recurring basis at the selected interval.
• Reef Insights offers a 30-day money-back guarantee on all plans. Refund requests must be submitted within 30 days of the initial purchase to legal@reefinsights.com.
• Early access pricing locked in for founding members at the time of initial subscription will be honored for the duration of a continuous active subscription.
• Annual subscription fees are non-refundable after the 30-day window, except as required by applicable law.
• We reserve the right to change subscription pricing with at least 30 days' notice. Price changes will not affect the current billing period of existing subscriptions.
• Failure to pay may result in suspension or termination of Platform access.

4. Team and Organization Features

• Team and Enterprise subscriptions allow multiple users to access the Platform under a shared organization account.
• Organization owners are responsible for managing member access, invitations, and ensuring all members comply with these Terms.
• Organization owners are responsible for all subscription charges associated with their organization, including all seat charges.
• Removing a member from an organization revokes their Platform access. Seat charges may continue until the next billing period depending on plan type.

5. Platform API Access

• API access is provided as part of qualifying subscriptions and is subject to the terms herein.
• API usage is subject to rate limits (default: 120 requests per minute per API key; 300 requests per minute per user). Rate limits may vary by plan.
• Automated or programmatic access must comply with published rate limits. Usage patterns that materially degrade Platform performance for other users are prohibited.
• API keys must not be shared, transferred, or used by parties outside the subscribing user or organization.
• We reserve the right to revoke API keys or suspend API access for abuse, Terms violations, or security concerns.

6. Acceptable Use

You agree not to:

• Use the Platform to violate any applicable laws or regulations
• Reproduce, sell, resell, sublicense, or redistribute Platform content or data for commercial purposes without express written permission from Reef Insights
• Attempt to reverse-engineer, decompile, scrape, or extract data from the Platform beyond normal authorized use
• Interfere with or disrupt the Platform, its servers, or networks connected to the Platform
• Attempt to gain unauthorized access to other users' accounts, data, or any non-public portions of the Platform
• Use automated scripts, bots, or crawlers to access the Platform beyond authorized API usage
• Use the Platform to transmit harmful, offensive, unlawful, or abusive content
• Impersonate any person or entity or misrepresent your affiliation
• Use the Platform for any purpose that competes with Reef Insights' business without prior written consent

7. User-Generated Content and Data

• Content you create using the Platform (including chat sessions, canvas reports, and saved queries) remains yours. You grant Reef Insights a limited, non-exclusive license to store, process, and display this content solely to provide the Service to you.
• Platform data and analysis outputs are for your internal use only and may not be redistributed or resold without written permission.
• Economic, housing, and demographic data displayed on the Platform is sourced from third-party providers (including the Federal Reserve (FRED®), U.S. Census Bureau, Realtor.com®, and Zillow®) and is subject to those providers' terms and limitations. FRED® is a registered trademark of the Federal Reserve Bank of St. Louis. Realtor.com® is a registered trademark of Move, Inc. Zillow® is a registered trademark of Zillow, Inc. Reef Insights LLC is not affiliated with or endorsed by any of these providers.
• You are responsible for the accuracy and lawfulness of any content you input into the Platform.

8. AI Research Agent

• The Platform includes an AI-powered research assistant ("Research Agent") that generates responses based on economic and real estate data.
• Research Agent outputs are AI-generated and may contain errors, omissions, or inaccuracies. They are for informational purposes only.
• Outputs do not constitute financial, investment, legal, or professional advice. See our Disclaimer for complete limitations.
• Reef Insights is not responsible for any decisions made in reliance on Research Agent outputs.
• Research Agent queries are processed through third-party AI infrastructure (OpenRouter). By using the Research Agent, you acknowledge that your queries are subject to the terms of those upstream providers.

9. Intellectual Property

• All Platform software, design, branding, and proprietary methodologies are the property of Reef Insights LLC and protected by applicable intellectual property laws.
• Your use of the Platform does not grant you any ownership rights in Platform software, design, or intellectual property.
• You may not use our name, logo, or trademarks without prior written permission.

10. Privacy

Your use of the Platform is subject to our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you consent to the data practices described in the Privacy Policy.

11. Disclaimers

• The Platform is provided on an "as is" and "as available" basis without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.
• We do not warrant that the Platform will be uninterrupted, error-free, or that defects will be corrected.
• We do not warrant the accuracy, completeness, or timeliness of any data displayed on the Platform, including third-party data or AI-generated content.

12. Limitation of Liability

In no event shall Reef Insights LLC, its directors, employees, partners, agents, suppliers, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising from your use of or inability to use the Platform.

Our total aggregate liability to you for any claims arising from use of the Platform shall not exceed the total amount you paid for your subscription in the twelve (12) months preceding the claim.

13. Termination

• Either party may terminate a subscription at any time. Cancellation takes effect at the end of the current billing period; access continues until then.
• We reserve the right to immediately suspend or terminate access for material violations of these Terms, non-payment, or suspected fraud.
• Upon account termination, your access to the Platform ceases. We may retain your data for a reasonable period for legal, audit, or dispute resolution purposes before deletion.
• Provisions of these Terms that by their nature should survive termination (including intellectual property, limitation of liability, and dispute resolution) shall survive.

14. Dispute Resolution

Any dispute arising from or relating to these Terms or your use of the Platform shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. Arbitration shall be conducted in Minnesota. This agreement to arbitrate shall survive any termination of these Terms.

Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent irreparable harm pending arbitration.

15. Force Majeure

We shall not be liable for any failure or delay in performance due to causes beyond our reasonable control, including acts of God, war, acts of terrorism, pandemic, government actions, changes in law or regulations, labor disputes, or technological failure beyond our control.

16. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or platform notification with reasonable advance notice. Your continued use of the Platform after changes take effect constitutes acceptance of the updated Terms. If you do not agree to updated Terms, you must discontinue use and cancel your subscription.

17. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Minnesota, without regard to its conflict of law provisions.
